1. Introduction

These Terms and Conditions ("Terms") govern your use of the website at www.easyworldtechs.com (the "Site") and any services provided by Easy World Techs Limited ("Company", "we", "us", or "our"), a technology company incorporated under the Companies and Allied Matters Act (CAMA) 2020, based in Port Harcourt, Rivers State, Nigeria.

By accessing our Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please discontinue use of our Site and services immediately.

2. Services

Easy World Techs Limited provides website design and development, software development, mobile application development, digital marketing, IT consulting, and related technology services. Specific deliverables, timelines, and fees for each engagement are agreed upon in a separate Service Agreement, Proposal, or Statement of Work signed between the Company and the client.

These Terms apply in addition to any such agreement. In the event of a conflict, the signed Service Agreement shall take precedence.

3. Use of the Website

You agree to use our Site only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

Use the Site to transmit any unsolicited or unauthorised advertising material
Attempt to gain unauthorised access to any part of the Site or its underlying systems
Introduce viruses, malware, or any other malicious code
Scrape, copy, or reproduce Site content without our prior written permission
Use the Site in any way that violates applicable Nigerian or international law

We reserve the right to restrict or terminate your access to the Site at any time without notice if we believe you are in breach of these Terms.

All content on this Site — including text, graphics, logos, images, code, and design — is the property of Easy World Techs Limited or its licensors and is protected under applicable intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content on this Site without our express written consent.

5. Client Responsibilities

Where you engage our services as a client, you agree to:

Provide accurate, complete, and timely information required for project delivery
Review and approve deliverables within agreed timelines
Ensure you have the legal right to use any content, images, or materials you supply to us
Make payments in accordance with the agreed schedule
Designate an authorised representative to communicate with the Company on your behalf

6. Payment Terms

Payment terms are as specified in the applicable proposal or invoice. Unless otherwise agreed:

An upfront deposit is required before work commences
Remaining balances are due upon project completion or at milestones as agreed
Invoices unpaid after 14 days of the due date may attract a late payment fee
The Company reserves the right to suspend delivery of services for overdue accounts

All fees are quoted in Nigerian Naira (₦) unless otherwise stated. The Company is not liable for any bank charges or transfer fees incurred by the client.

7. Revisions and Scope Changes

Our proposals define the agreed scope of work. Requests for work outside that scope ("change requests") will be assessed and quoted separately. The Company will not commence out-of-scope work without written approval from the client.

8. Warranties and Disclaimers

We warrant that our services will be delivered with reasonable skill and care in accordance with industry standards.

The Site and its content are provided "as is" without warranties of any kind, to the fullest extent permitted by Nigerian law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Easy World Techs Limited shall not be liable for indirect, incidental, special, or consequential damages arising from your use of our Site or services.

Where liability cannot be excluded by law, our total liability to you shall not exceed the total fees paid by you to the Company in the three (3) months preceding the event giving rise to the claim.

10. Third-Party Services

Our services may involve integration with or recommendation of third-party platforms, tools, or services. We are not responsible for the performance, availability, or terms of those third-party services.

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of an engagement. This obligation survives termination of the service relationship.

12. Termination

Either party may terminate a service engagement by giving written notice as specified in the applicable Service Agreement. Upon termination, the client is liable for payment of all work completed up to the termination date.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or our services shall first be subject to good-faith negotiation. If unresolved, the dispute shall be referred to mediation or arbitration, or litigated in a court of competent jurisdiction in Rivers State, Nigeria.

14. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised "Last Updated" date. Continued use of our Site or services after changes are posted constitutes your acceptance of the revised Terms.
